These terms do not constitute a public offer and are provided for informational purposes only, in order to inform potential customers about the general conditions of purchase, delivery and warranty. The complete and legally binding terms shall be set out in the individual sales contract concluded with each customer.
1. Prices and Payments
1.1. All prices are quoted exclusive of VAT, sales taxes, excise duties, customs duties or any other taxes, levies or charges imposed by public authorities on the amounts payable by the Buyer.
1.2. Payment shall be made in advance, in accordance with the terms specified in the order confirmation.
3. Order Confirmation
3.1. An order shall become binding only upon written confirmation by the Seller.
3.2. Acceptance of the order by Kadzama d.o.o. shall be confirmed by a written order confirmation.
3.3. Unless otherwise agreed in writing, full prepayment (100%) by bank transfer is required, in accordance with the instructions provided in the order confirmation.
4. Delivery Methods
We offer the following delivery options:
4.1. Collection organised by the Buyer
The Buyer may collect the goods personally or arrange their own transport from our warehouse near Ljubljana (approximately 100 km from Trieste), Slovenia.
4.2. Delivery arranged by the Seller (DAP – Delivered At Place)
Upon request, we may arrange delivery on the Buyer’s behalf.
Unless otherwise agreed in writing, delivery costs shall be borne by the Buyer.
5. Delivery Times
Delivery times are agreed on a case-by-case basis.
In approximately 90% of cases, shipment takes place within 7–15 days.
For certain equipment — particularly custom-made machines manufactured according to the Buyer’s specifications — delivery times may extend to 2–4 months.
Delays in delivery shall not entitle the Buyer to refuse the goods, claim compensation, or terminate the supply contract.
6. Transfer of Risk and Title
6.1. The risk shall pass to the Buyer upon delivery at the agreed delivery point.
6.2. Title to the goods shall transfer to the Buyer only upon receipt of full payment.
7. Warranty
7.1. The Seller provides a warranty of 12 months on the Products
(24 months for melangers), starting from the invoice date.
7.2. The warranty covers manufacturing defects only.
7.3. Even after the warranty period has expired, we remain available to provide remote technical support to our customers.
8. Non-Consumer Declaration
The Buyer declares, warrants and confirms that the Products are purchased for professional or business purposes, in the course of the Buyer’s commercial or professional activity, and not as a consumer.
Accordingly, consumer protection legislation shall not apply, to the maximum extent permitted by applicable law.
9. Complaints
The Buyer is required to inspect the goods immediately upon receipt and no later than 7 (seven) days thereafter.
Any defects must be reported without undue delay.
Failure to do so shall be deemed acceptance of the goods.
10. Returns
Returns are not accepted, unless expressly agreed in writing with the Seller or in cases covered by the warranty.
11. Governing Law and Jurisdiction
These Terms and the contractual relationship between the parties shall be governed by the laws of the Republic of Slovenia.
Any disputes shall be finally settled by arbitration before the Chamber of Commerce and Industry of Slovenia, seated in Ljubljana.
